Abstract and Keywords

This chapter discusses board behavior and processes. It first outlines some qualitative studies about the exercise of board influence, accountability, and power, where boards are shown as decision-making groups. It then tests the relationship between board processes and performance. The chapter states that law and governance codes now have considerable influence over matters of board composition and structures. It also highlights how important it is for the theory and practice of corporate governance to touch upon the substance of board effectiveness.
